1. Coverage This agreement covers all Media, videos, and digital assets (�?????�????�???�??�?�¢??Media") provided by Xcel Property Media, LLC. 2. Ownership and Licensing Ownership: We retain full ownership and copyright of the Media. License: You get a non-exclusive, non-transferable license to use the Media for advertising, print, websites, and social media. Restrictions: You cannot transfer or alter the copyright of the Media. 3. Copyright Management You agree not to alter or remove any copyright information included in the Media. 4. Resale and Transfer You may not resell or transfer the Media without a separate license from us. 5. Independent Contractor We operate as an independent contractor and control the creation process of the Media. 6. Fees and Payments Fees are due upon booking or delivery. Non-payment may result in losing rights to use the Media. If you cancel with at least 24 hours�?????�????�???�??�?�¢?? notice before the scheduled shoot there will be no charge. Same day cancellations with at least 3 hours notice will be charged $50. Same day cancellations with less than 3 hours notice will be charged $100. 7. Relationship and Assignment This agreement does not create an exclusive relationship; both parties can work with others. You cannot transfer this agreement without our written consent. 8. Indemnification You agree to indemnify us against any claims arising from the use of the Media.
9. Dispute Resolution Governed by Kentucky law. Disputes will be resolved in Oldham County, KY, or through mediation/arbitration. 10. Severability and Waivers If part of this agreement is invalid, the rest remains effective. No waivers are valid unless in writing. By clicking "I Agree," you agree to these terms.
